§1 Conclusion of contract

  1. The contract shall only be deemed to have been bindingly concluded upon written confirmation of the order by the Academy. In the case of open training courses and workshops, registrations will be considered according to the time at which they are received by the Academy, as the number of participants is limited.

§2 Prices / Surcharges

  1. The prices are net prices plus VAT.
  2. In the case of open training courses and workshops, the training or workshop fee is due upon conclusion of the contract. The Academy shall be entitled to refuse performance in accordance with § 320 BGB.
  3. A payment term of 30 days can be agreed for in-house training courses.
  4. For training, lecture and workshop dates that take place on a Saturday, Sunday or public holiday at the customer’s request, the Academy shall charge a surcharge of 19% of the training or workshop fee.
  5. For training courses, lectures or workshops held in a language other than German at the customer’s request, the Academy shall charge a surcharge of 10% of the training or workshop fee.
  6. The Academy shall charge a surcharge of 19% of the training, lecture or workshop fee for training courses, lectures or workshops held outside Germany at the customer’s request.
  7. The agreed price stated in the order confirmation shall apply in all cases.
  8. All conditions refer to a maximum number of 12 participants for training courses, lectures and workshops. If there are more than 12 participants, a separate agreement must be reached between the client and Global Cultures. If this does not materialize, the Academy reserves the right to withdraw from the agreements made without compensation.
  9. Should the number of participants increase to more than 12 persons only at or after the start of the workshop, lecture or seminar without prior agreement, e.g. through spontaneous invitation of further participants by the customer, the Academy shall be entitled to disinvite the additional participant(s) or to charge EUR 200 per participant per day plus VAT.

§3 Cancellation and postponement

  1. If the customer withdraws from the order (cancellation), 50% of the originally agreed remuneration shall be due in the event of withdrawal up to 30 days before the agreed start of the training, lecture or workshop. In the event of withdrawal less than 30 days before the start of the training, lecture or workshop, the entire originally agreed remuneration shall be payable.
  2. If the customer postpones an agreed training, lecture or workshop date less than 14 days before the agreed date, an additional fee of 50% of the training, lecture or workshop fees shall be payable.
  3. The postponement of an appointment by more than one month as well as the postponement of the appointment more than once shall be deemed a withdrawal pursuant to § 3 para. (1).
  4. Irrespective of the withdrawal period, the customer is obliged to reimburse any costs incurred for travel and accommodation that can no longer be canceled.

§4 Minimum number of participants

  1. The Academy reserves the right to cancel an open training course or an open workshop if the minimum number of participants (3 participants) is not reached up to 1 week before the start of the seminar. In this case, customers will be reimbursed the training or workshop fees. The customer shall not be entitled to any further reimbursement (e.g. costs for travel or accommodation).
  2. The Academy reserves the right to hold the open training courses and workshops in question even if the minimum number of participants is not reached. The Academy does not guarantee that more than 1 participant will take part in these training courses or workshops.

§5 Training and workshop documents

  1. The training and workshop documents provided by the Academy are protected by copyright and are provided to the individual training or workshop participant for personal use only. The documents may not be published (even in part), recorded on storage media or reproduced in any form without the express written consent of the Academy.

§6 Secrecy

  1. The Academy shall be obliged to treat as strictly confidential any business or trade secrets of the Customer that become known to it in the course of the business relationship or the course.

§7 Liability

  1. The Academy shall be liable without limitation for damages caused by intentional conduct on the part of employees or representatives of the Academy or its vicarious agents. In the event of a grossly negligent breach of duty, liability vis-à-vis entrepreneurs shall be reduced to the damage that was foreseeable and typical for the contract.
  2. Furthermore, the Academy shall only be liable in the event of culpable breach of material contractual obligations (cardinal obligations). The amount of this liability shall be limited to such typical contractual obligations as each party to the contract had to expect at the time of conclusion of the contract on the basis of the circumstances known to it at that time. The Academy shall be liable for all damages resulting from the contract and to be compensated in accordance with this provision up to a maximum of 50% of the training or workshop fees. It should be noted that any further limitations of liability agreed in individual contracts shall take precedence over this provision.

§8 Protection against poaching of lecturers

  1. The Customer undertakes not to conclude a contract with one of the instructors employed by the Academy within a period of 24 months after conclusion of the contract. For each case of non-compliance, the Customer undertakes to pay the Academy a contractual penalty amounting to five times the training or workshop remuneration agreed with the Academy.

§9 Other provisions

  1. German law shall apply. The application of the UN Convention on Contracts for the International Sale of Goods is excluded. The GTC are drawn up in German and English. In the event of deviations, the German version shall apply. The place of jurisdiction is Kelkheim (Taunus).
